개략 설명

1) 문서의 개요

당사자간의 특정사안에 대한 비공식적 비망록 혹은 기록문서.

정식계약체결의 이전단계에서 양당사자간의 이해나 합의 사항을 기록하는 경우(이 경우는 LOI와 다를바 없음)와 정식계약에 관련한 이면적 합의사항을 기록하는 경우로 대별할 수 있슴(이 경우는 정식계약에 대한 이면적 합의 또는 양해각서의 의미에 해당함)

2) MOU가 필요한 경우

LOI의 의미 및 용도로 사용될 경우 . LOI부분 참조

이면적 합의(양해각서, Side Letter)의 의미로 사용될 경우 ;

.정부의 인허가 목적상 정식계약(본계약)에서는 포함시킬 수 없는 사항을 음성적으로 규정하여 둘 필요성이 있는 경우 .
. 본 계약의 특정부분을 본래적 의미와는 달리 양해하거나 또는 해석하고자 하는 경우 본 계약에 앞선 가계약 또는 예비적 합의 성격의 용도로 작성하는 경우

3) MOU의 법적

LOI 등과 마찬가지로 합의내용의 구체성 여부 및 표현에 구속력 여부 따라 개별적으로 판단해야 할 것으로 봄.

정부의 인허가 등 특정목적을 위하여 불법 또는 편법적 수단으로 작성되는 경우도 당사자간의 효려은 부인하기 어려울 것임 .

예비적 합의성격의 MOU라면 원칙적으로 계약서와 동일 한 효력을 갖는다고 봄.

5) 유의사항

LOI와 같은 용도일 경우 : LOI부분 참조

Side Letter 성격의 경우 : 강행법규에의 위반 가능성 및 이러한 이면적 합의사항의 이행문제에 특히 유의함.

예비적 합의의 수단으로서 작성되는 경우는, 특별한 경우를 제외하고는 MOU에서 규정된 조건 및 내용이 그대로 본 계약서에 이관되는만큼 본계약서의 작성과 동일한 비 중으로 임해야 함.

MOU, LOI, Side Letter 등등의 문서는 그 표면적인 제목에 의해서가 아니라, 그 내용에 따라 경우별로 달리 취급해야 함.

MEMORANDUM OF UNDERSTANDING


On behalf of ABC Mr. and Mr. visited XYZ, from Oct. 24, 1990 to Oct. 25, 1990, and had mutual discussion on the basis of the Proposal No and finally agreed upon several factors to carry out the project.

비록 MOU의 형식일지라도 구체적인 내용을 명시적으로 합의하는 경우는 정식의 계약서와 동일한 효력이 있음.

Now therefore, it is hereby agreed and declared by and between the parties concerned hereto, as follows,

1. ABC is willing to set up a shoe manufacturing company in under XYZ's cooperation such as Machinery Supplying, Technical Transfer Assistance and Marketing.

2. ABC shall get an Industrial License within maximum fortyfive(45)days after applying it for the prompt progress of this project. The commercial production shall be started within the end of 1990.

4. ABC will sell all their products except rejected shoes through XYZ for the minimum period of ten(10) years. 구체적인 합의사항인 만큼 ABC는 최소한 10년동안 XYZ를 통해서만 판매할 수 있다고 보는 것이 타당하고, 또 ABC는 당연히 이에 구속당한다고 봄. ABC의 의무를 강화하기 위해서는 Will보 다는 Shall로 표현하는 것이 보다 확실함.



5. ABC shall open a Letter of Credit for Machineries an Equipments regarding this shoe manufacturing project within six(6) months after signing this M.O.U. MOU체결이후 XYZ는 Machineries and Equipments의 생산에 들어갈 것이므로, MOU체결후 6개월이내에 ABC가 L/C(신용장)를 개설하지 않을 경우는, ABC는 XYZ에게 인과관계가 증명되는 범위 내의 손해배상이 불가피하다고 해석함.



6. XYZ shall dispatch the drafts of Marketing Agreement, Technical

7. Assistance Agreement and Machinery Contract soon by D.H.L. The production capacity shall be considered as 3,000pairs/day on the basis of eight(8) working hours a day.

MEMORANDUM




This Memorandum shall have the force as the Contract No. 92WMHN/37080GE. 본 MEMORANDUM은 (정식)의 본래 계약서를 추가·보완하기 위하여 필요한 사항을 특별히 본 계약서와 같은 효력으로서 양해할 목적으로 작성되었음. 본래적 용도로 본다면 수정계약서의 형태로 작성되는 것이 보다 적절한 수단인 듯 보이나 정부인가등의 절차적 문제 때문에 MEMORANDUM형식으로 작성된 듯함.



1, Re. Subject of Party B to pay income tax from its income within the Chinese territory according to the current Chinese Taxation Law. According to the current Taxation Law, Party B shall pay Income tax amounting twenty percent(20% ) of the total Contract price. Through discussions by the two parties, Party B shall only pay ten percent(10% )of the total Contract price. For the remaining 10% tax, party A and Party B shall jointly apply for exemption. If the application will not be approved, Party A shall bear such 10% tax and this could be treated through payment of ordering the equipments, or through payment of ordering the CKD & SKD parts & components by Party A to party B within three(3) months after Party B has paid its 20% tax to the Chinese Taxation Authority. 본 계약서에서 당연히 규정되었어야 했던 세금문제의 누락을 추후에 발견하고서, 원칙적인 처리가 어렵게 되자 어떻게 해서든 편법적으로라도 처리하려는 양해사항으로 보임.이러한 편법적인 처리방식때문에 수정계약서 형태가 아닌 MEMORANDUM형태를 취했다고도 볼 수 있음.



2. Verification Test of the Contract Product(in relation to Subsection 7.1 to the Contract)

It is agreed by both parties that the Verification Test of the Contract Product shall be proceeded in Chinese field within six(6) to twelve(12)months after Party A received the technical Documentation delivered by Party B.

Product to be verify tested will be 100% assembled from CKD & SKD parts & components supplied by Party B. Sample combine for comparison test will be a complete built combine included in the Party B's first supplying shipment of CKD & SKD parts & components.

Outline for field verification test will be provided by Party B together with the delivery of technical Documentation. Relevant parameters of the Outline will be decided by both parties through discussion.

3. Re. Sub section 2.3 to the Contract.

In order to convert Party B's drawings, Party B shall provide Party A free of charge one set of computer aid design (CAD) small working station. Such CAD station values USD 45,000.00(Say : U.S.Dollars FortyFive Thousand Only),Actual price and selection of model will be decided by both parties.

Party A shall bear the exceeds cost if any.

MEMORANDUM OF UNDERSTANDING




BETWEEN ABC CO., HEAVY INDUSTRY DIVISION AND XYZ COMPANY

On October 21, 1992, ABC and XYZ entered into a license Agreement relating to sales of Radwaste Solidification Systems (RSS) in the Republic of Korea. The signatories of this Agreement mutually acknowledge that this Agreement, as signed, must be reviewed and approved by top management company officials of both companies. In addition, the signatories acknowledge that the license Agreement is further subject to approval by the Republic of Korea's government authorities. 본 예문은 극히 간단한 내용의 것으로서, 이미 서명된 License Agreement의 효력관계를 본래 의도와는 달리 규제하고자 하는 의도에서 작성되었음. 달리 규정되지 않는 한, 계약은 서명으로써 내용이 확정되고 효력이 개시되게 되는데 본 MOU는 발효관계를 규제 하기 위하여 양 당사자가 본래 계약과는 별도로 양해하는 문서임.
